End-User License Agreement

PLEASE READ THIS END-USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING TYPINGWISE ("APP"). BY USING THE APP, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE APP AND PROMPTLY DELETE IT FROM YOUR DEVICE.

1. License Grant

Subject to the terms and conditions of this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable license to use the App on a single device for personal or commercial use.

2. Purchase and Activation

2.1 License Key: In order to use the App, you must purchase a valid license key from the Licensor or an authorized reseller. The license key is unique to you and must not be shared or resold.

2.2 Acceptance: By purchasing the license key and activating the App, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this EULA.

3. Ownership

The Licensor retains all right, title, and interest in and to the App, including all intellectual property rights. This Agreement does not convey to you any ownership rights or interest in the App, except for the limited license granted herein.

4. Updates and Data Collection

4.1 Updates: During the one-year period following your purchase of the license key, you are entitled to receive free updates to the App. The Licensor reserves the right to charge for major version upgrades or additional features beyond the one-year period.

4.2 Data Collection: The Licensor collects anonymous app usage data to improve the App and optimize its performance. No personally identifiable information is collected or retained during this process.

5. Use Restrictions

5.1 Single Device Use: The license key and the App may only be used on one computer at a time. However, you are permitted to move the license key to a different computer, provided that you deactivate the App on the original computer before activating it on the new computer.

5.2 Prohibited Actions: You shall not:

• Reverse engineer, decompile, or disassemble the App, except and only to the extent expressly permitted by applicable law.
• Modify, adapt, or create derivative works of the App.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the App.
• Use the App in any manner that violates applicable laws or regulations.
• Share, distribute, resell, sublicense, or transfer the license key or the App to any third party.

6. Warranty Disclaimer

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE APP, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term or condition of this Agreement. Upon termination, you shall cease all use of the App and destroy all copies of the App in your possession or control.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Licensor resides. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of such jurisdiction.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and the Licensor with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings or agreements, whether written or oral.

By using the App and purchasing the license key, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement, which includes the collection of anonymous app usage data as per clause 4.2.
